11. Governing Law

This Policy is governed by and construed in accordance with the laws of British Columbia, Canada, and any disputes shall be subject to the exclusive jurisdiction of the courts in Vancouver, BC.

10. Modifications

We may update, modify, or discontinue this Policy or the Program at any time. Affiliates will be notified of material changes, and continued participation constitutes acceptance of updated terms.

9. Limitation of Liability

• The Company shall not be liable for indirect, incidental, or consequential damages (including loss of revenue or business) resulting from participation in the Program. • Our total liability for any claim related to this Program will not exceed the total commissions paid to the Affiliate in the three (3) months preceding the claim.

8. Termination

We reserve the right to suspend or terminate participation in the Program at any time, without notice, if: • The Affiliate breaches this Policy or applicable law. • The Affiliate engages in fraudulent, unethical, or harmful practices. • The Affiliate damages our reputation or intellectual property. Upon termination: • The Affiliate forfeits any unpaid or pending commissions. • The Affiliate must immediately stop using all Company branding, links, and materials.

7. Compliance with Laws

Affiliates must comply with all applicable local, provincial, national, and international laws, including but not limited to: • Canadian Anti-Spam Legislation (CASL) • Federal Trade Commission (FTC) disclosure rules • General Data Protection Regulation (GDPR) (if operating in the EU) • California Consumer Privacy Act (CCPA) (if targeting California residents)

6. Confidentiality

All non-public information shared between the Company and Affiliate (e.g., pricing, client lists, strategies) must be kept confidential and not disclosed without prior written consent.

5. Marketing Guidelines

• Affiliates may only promote using materials, guidelines, and brand assets provided or approved by the Company. • Affiliates may not: o Use false, misleading, or exaggerated claims. o Bid on our brand name or trademarks in paid advertising (e.g., Google Ads). o Engage in spam, unsolicited messages, or deceptive traffic practices. o Infringe on intellectual property or use unauthorized creative assets. • Content must always clearly disclose the affiliate relationship in compliance with FTC, GDPR, CASL, and other applicable regulations.

4. Revenue Sharing & Commissions

• Commission rates, eligibility criteria, and payout schedules will be outlined in a separate written agreement or schedule provided to each partner. • Commission is earned only for verified sales, leads, or actions that meet Company criteria. • No commission is earned on fraudulent, canceled, refunded, or chargeback transactions. • All payments are made in accordance with applicable tax laws. Affiliates are responsible for reporting and paying their own taxes.

3. Relationship

• Affiliates and partners act as independent contractors, not employees, agents, or representatives of the Company. • No partnership, joint venture, or franchise relationship is created. Affiliates cannot make commitments or representations on behalf of the Company.

2. Eligibility

• Affiliates and partners must be at least 18 years old and legally able to enter into binding agreements. • We reserve the right to approve or deny any application at our sole discretion without obligation to provide reasoning. • Affiliates must not engage in practices or content that are illegal, misleading, defamatory, discriminatory, or harmful to our reputation.

This Affiliate & Partnership Policy (“Policy”) governs participation in the affiliate, referral, and partnership programs (“Program”) offered by COEngine (“Company,” “we,” “us,” “our”). By applying for, joining, or participating in the Program, you (“Affiliate,” “Partner,” “you”) agree to comply with this Policy in full.
