8. Governing Law

This Policy is governed by the laws of British Columbia, Canada, without regard to its conflict of laws principles. Any disputes shall be resolved in the courts of British Columbia.

7. Changes to Policy

COEngine reserves the right to update or modify this Intellectual Property Policy at any time. Continued use of our website, products, or services constitutes acceptance of the revised policy.

5. Enforcement & Legal Action

• COEngine actively monitors for intellectual property infringement. • Any violation of this Policy, including unauthorized use, reproduction, or distribution of COEngine’s IP, will result in: o Immediate termination of access to services, without refund. o Civil or criminal prosecution under applicable intellectual property and copyright laws. o Recovery of damages, legal fees, and injunctive relief.

4. Trademarks & Branding

• All COEngine branding elements—including but not limited to the name “COEngine,” logos, taglines, slogans, color schemes, and domain names—are protected intellectual property. • Clients and Users are prohibited from using COEngine’s trademarks, branding, or likeness without express written consent.

3. Joint Work & Custom Deliverables

3.1. Custom Projects • If COEngine develops custom deliverables (e.g., designs, documents, templates, or tools) specifically for a Client, ownership of the final deliverable may be transferred to the Client upon full payment. • However, any underlying systems, methodologies, frameworks, AI models, software, and tools used to create the deliverables remain the intellectual property of COEngine. 3.2. Re-Use of Materials • COEngine retains the right to reuse and repurpose any non-identifiable, generic knowledge, frameworks, templates, or methods developed during client engagements for future projects.

2. Client Intellectual Property

2.1. Ownership of Client Content • Clients retain ownership of any data, content, or intellectual property that they create and upload to COEngine’s platform, including but not limited to text, documents, files, images, videos, and business data (“Client Content”). 2.2. License to COEngine • By uploading or submitting Client Content, you grant COEngine a worldwide, royalty-free, non-exclusive license to store, process, display, and use such content solely for the purpose of providing contracted services. 2.3. Prohibited Content • Clients must ensure that their submitted content does not infringe the intellectual property rights of any third party. • COEngine reserves the right to remove, suspend, or delete any Client Content that violates intellectual property rights or applicable laws.

1. Company Intellectual Property

1.1. Ownership • All intellectual property (IP), including but not limited to software code, algorithms, AI tools, business operating systems, user interfaces, website design, graphics, logos, trademarks, service marks, trade names, product names, written content, video content, designs, templates, documents, marketing materials, and all other proprietary materials created, owned, licensed, or developed by COEngine, remain the exclusive property of COEngine. 1.2. License to Use • Clients and users are granted a limited, non-exclusive, non-transferable, revocable license to use COEngine’s products and services strictly for their internal business purposes. • No rights, title, or ownership of COEngine’s intellectual property are transferred to the Client or User. 1.3. Restrictions • You may not, under any circumstances, copy, reproduce, reverse engineer, decompile, disassemble, modify, adapt, resell, sublicense, rent, lease, transfer, or exploit COEngine’s intellectual property for any purpose not expressly authorized in writing by COEngine. • Unauthorized use will result in immediate termination of services and may lead to legal action.
