12. Entire Agreement

This DPA forms part of the Service Agreement/Terms of Service and supersedes any conflicting provisions.

11. Term & Termination

• This DPA remains valid for as long as CoEngine processes Personal Data on behalf of the Client. • Upon termination of services, CoEngine will delete or anonymize all Personal Data as per Section 7.

10. Governing Law & Jurisdiction

• This DPA is governed by the laws of British Columbia, Canada. • Disputes shall be resolved in the courts of British Columbia.

9. Audit Rights

• Client may request proof of CoEngine’s compliance (e.g., security certificates, policies). • Independent audits may be conducted at the Client’s cost, with 30 days’ notice and minimal disruption.

7. Data Retention & Deletion

• Data is retained only as long as necessary to provide services or comply with legal obligations. • Upon termination of services, CoEngine will delete or anonymize Personal Data within 90 days, unless law requires longer retention.

6. International Transfers

• CoEngine may transfer data outside of the Client’s jurisdiction (e.g., to cloud service providers in the US/EU/Canada) with adequate safeguards. • Such transfers shall comply with GDPR (Standard Contractual Clauses), CCPA, and Canadian privacy law.

5. Data Subject Rights

CoEngine will assist the Client in fulfilling requests under GDPR, CCPA, or PIPEDA, including: • Access, correction, deletion, restriction, and portability of Personal Data. • Opt-out of “sale” of data (where applicable under CCPA). Requests must be submitted by the Client; CoEngine does not respond directly to end-users unless legally required.

4. Controller Obligations (Client)

The Client agrees to: • Collect and provide Personal Data to CoEngine in compliance with applicable laws. • Not transmit illegal, harmful, or excessive data. • Obtain all required consents and authorizations from end-users before providing data to CoEngine.

3. Processor Obligations (CoEngine)

CoEngine agrees to: • Confidentiality: Ensure all personnel handling Personal Data are bound by confidentiality. • Security Measures: Implement reasonable technical and organizational measures (encryption, access controls, backups, monitoring). • Data Location: Data is primarily processed/stored in Canada and/or secure servers in North America, with possible redundancy in the EU or US for backup. • Data Breach Notification: Notify Client of any confirmed breach within 72 hours of discovery. • Sub-processors: Use third-party vendors (e.g., hosting, payment processors) only under written agreements ensuring equal data protection.

2. Scope of Processing

2.1 CoEngine shall process Personal Data solely to provide the agreed services (Business Operating System tools, software, support). 2.2 CoEngine will not sell, rent, or disclose Personal Data to third parties except as required by law or under this DPA. 2.3 The types of data processed may include: • Contact details (name, email, phone, business address) • Business information (company name, workflows, files) • Client preferences/settings • Payment-related data (processed via secure third-party providers, never stored by CoEngine)

1. Definitions

• Personal Data: Any information relating to an identified or identifiable natural person. • Processing: Any operation performed on Personal Data (collection, storage, use, transfer, deletion). • Applicable Laws: Includes PIPEDA, PIPA (BC), GDPR, CCPA, CPRA, and any other data protection law applicable to either party. • Controller: The Client, who determines the purposes and means of processing Personal Data. • Processor: CoEngine, who processes data on behalf of the Controller.

Data Processing Agreement (DPA)

Effective Date: 01 Sep 025 Update Date: 08 Sep 2025 Parties: • “Processor”: CoEngine Systems Inc. (“CoEngine,” “we,” “our,” “us”) – located in British Columbia, Canada. • “Controller”: The Client (“you,” “your”), the entity or individual using our services. This Data Processing Agreement (“DPA”) is incorporated into and forms part of the Service Agreement/Terms of Service between CoEngine and the Client.
