10. Modifications

COEngine may update or modify this Billing & Subscription Policy at any time. Clients will be notified of significant changes via email or account notification. Continued use of the Services constitutes acceptance of the updated Policy.

8. Chargebacks & Disputes

1. Clients agree not to initiate chargebacks without first contacting COEngine to resolve any billing issues. 2. Unauthorized chargebacks may result in immediate account suspension, termination of Services, and permanent ban from future use. 3. COEngine reserves the right to recover any chargeback fees, legal costs, and damages incurred as a result of a dispute.

7. Taxes

1. All subscription fees are exclusive of applicable taxes. 2. Clients are responsible for paying all taxes, levies, or duties imposed by their jurisdiction. 3. COEngine reserves the right to charge applicable sales tax, VAT, GST, or HST as required by law.

7. Compliance with Laws

Affiliates must comply with all applicable local, provincial, national, and international laws, including but not limited to: • Canadian Anti-Spam Legislation (CASL) • Federal Trade Commission (FTC) disclosure rules • General Data Protection Regulation (GDPR) (if operating in the EU) • California Consumer Privacy Act (CCPA) (if targeting California residents)

6. Upgrades & Downgrades

1. Clients may upgrade their subscription at any time; the prorated difference will be charged immediately. 2. Downgrades will take effect at the end of the current billing cycle. No refunds or credits will be provided for unused time on a higher-tier plan.

5. Failed Payments & Account Suspension

1. If a payment fails, COEngine will attempt to reprocess the payment up to 3 times within a 7-day grace period. 2. If payment remains unsuccessful after the grace period, COEngine reserves the right to suspend or terminate account access until outstanding fees are paid. 3. Clients with overdue balances may be charged a late payment fee of 2% per month (or the maximum allowed by law) on unpaid amounts. 4. COEngine reserves the right to refer delinquent accounts to collections and recover all associated costs, including legal fees.

4. Cancellations

1. Clients may cancel their subscription at any time through their account dashboard or by contacting COEngine Support at info@coreorbit.io. 2. Cancellation requests must be submitted at least 7 days before the next billing date to avoid being charged for the following billing cycle. 3. Upon cancellation, access to Services will remain active until the end of the paid billing cycle. No prorated refunds will be issued.

3. Automatic Renewals

1. All subscriptions automatically renew at the end of each billing cycle unless cancelled in accordance with Section 4 below. 2. Renewal will be charged at the then-current subscription rate. 3. By subscribing, you acknowledge and agree to automatic billing until cancellation.

2. Billing & Payment Terms

1. Payment must be made via accepted payment methods listed on the COEngine website (e.g., credit card, debit card, ACH, PayPal). 2. By providing payment details, you authorize COEngine to automatically charge your payment method for subscription fees, renewals, and any applicable taxes. 3. All payments must be received in full before access to Services is granted or renewed. 4. COEngine is not responsible for bank fees, foreign transaction fees, or currency exchange rates.

1. All fees are listed in [CAD/USD] unless otherwise stated. 2. Subscription fees are charged on a recurring basis (monthly, quarterly, or annually) as selected by the Client at checkout. 3. Fees are non-refundable except where explicitly stated in COEngine’s Refund & Cancellation Policy. 4. COEngine reserves the right to adjust subscription fees at any time, with a minimum of 30 days’ notice to active subscribers.
